Please read these Terms of Service carefully before using the Restspace platform. These terms govern your access to and use of our services.

1. Acceptance of Terms
By accessing or using the Restspace platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service.
These Terms apply to all visitors, users, and others who access or use the Service, whether as a user seeking to allocate capacity or as an operator providing programmable infrastructure.
We reserve the right to update these Terms at any time. Your continued use of the Service following any changes constitutes acceptance of those changes.
2. Service Description
Restspace is a programmable physical infrastructure platform that enables users ("Users") to dynamically allocate capacity from operators ("Operators") who provide access to physical assets.
Our platform enables the programming, discovery, and allocation of various infrastructure types including rest spaces, workspaces, vehicles, storage, fitness facilities, event venues, and other multi-purpose capacity organized by spatial utility (Rest, Work, Refresh, Store, Exercise, Connect, Vehicles, Events).
Restspace acts solely as a coordination platform. We do not own, control, offer, or manage any capacity. Operators are independent third parties and are not employees, partners, or agents of Restspace.
3. User Accounts
To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to: - Provide accurate, current, and complete information during registration - Keep your account information up to date - Notify us immediately of any unauthorized access to your account - Not share your account credentials with others - Not create multiple accounts for fraudulent purposes
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.
4. Allocation and Payments
Restspace facilitates payments between Users and Operators through our secure payment processing system powered by Stripe.
Platform Fee: Restspace includes a platform fee in all displayed prices. This fee helps us maintain the platform, provide customer support, and develop new features. The price shown on capacity pages is the total price users pay — there are no additional fees at checkout.
Payment Processing: When you allocate capacity, you authorize Restspace to charge your payment method for the displayed total amount. Operators receive their listed price after the allocation is completed.
Pricing: All prices displayed on infrastructure include the operator rate and the Restspace platform fee. The price shown at checkout is the binding price for the transaction.
Taxes: Depending on your jurisdiction, additional taxes may apply to your allocation. You are responsible for complying with all applicable tax obligations.
5. Cancellation Policy
Cancellation policies are set by individual Operators and displayed on each capacity page. Please review the cancellation policy before confirming your allocation.
User Cancellations: Refunds for cancelled allocations are processed according to the Operator's cancellation policy. The platform fee may be non-refundable depending on when the cancellation occurs.
Operator Cancellations: If an Operator cancels a confirmed allocation, the User will receive a full refund. Operators who cancel allocations may be subject to penalties including reduced search visibility or account suspension.
No-Shows: Failure to arrive for a confirmed allocation without cancellation may result in no refund and potential account restrictions.
Disputes: If you have a dispute regarding an allocation or cancellation, please contact our support team within 14 days of the allocation date.
6. Operator Responsibilities
As an Operator on Restspace, you agree to:
Infrastructure Accuracy: Provide accurate, complete, and up-to-date information about your capacity, including photos, descriptions, utilities, capabilities, rules, and availability.
Legal Compliance: Ensure your infrastructure complies with all applicable laws, regulations, zoning requirements, lease agreements, homeowners association rules, and insurance policies.
Safety: Maintain your capacity in a safe, clean, and functional condition. Address safety hazards promptly and provide accurate safety information to Users.
Communication: Respond to allocation requests and User inquiries in a timely manner. Be available to address issues during active allocations.
Tax Compliance: Report and pay all applicable taxes on your earnings. Restspace may be required to collect and report certain tax information.
Insurance: Maintain appropriate insurance coverage for your capacity. Restspace does not provide insurance for Operator properties.
7. User Responsibilities
As a User on Restspace, you agree to:
Accurate Information: Provide accurate allocation information including the number of people, intended use, and any special requirements.
Respectful Use: Treat the capacity with respect. Follow all rules set by the Operator. Leave the capacity in the same condition as you found it.
Communication: Communicate promptly with Operators regarding arrival times, special requests, or any issues that arise during your allocation.
Prohibited Activities: Not engage in any illegal, harmful, or disruptive activities during your allocation.
Damage Responsibility: You are responsible for any damage caused to the capacity during your allocation. Operators may charge additional fees for damages or excessive cleaning.
Occupancy Limits: Not exceed the maximum occupancy or bring additional people without Operator approval.
8. Prohibited Activities
The following activities are strictly prohibited on the Restspace platform:
Illegal Activities: Any activity that violates local, state, national, or international laws.
Fraudulent Behavior: Creating fake infrastructure profiles, fake reviews, or engaging in payment fraud.
Harassment: Harassing, threatening, or discriminating against any user.
Circumventing the Platform: Arranging allocations outside of Restspace to avoid fees or protections.
Commercial Solicitation: Using the platform for unauthorized advertising or commercial solicitation.
Data Scraping: Collecting or harvesting user data without authorization.
Misrepresentation: Providing false information about yourself, your capacity, or your allocations.
Subletting: Subletting allocated capacity without explicit Operator permission.
Violation of these prohibitions may result in immediate account termination and legal action where appropriate.
9. Limitation of Liability
Restspace provides the platform "as is" and "as available" without warranties of any kind, either express or implied.
To the maximum extent permitted by law, Restspace shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.
Restspace is not liable for: - The conduct of any Operator or User - The condition, safety, or legality of any capacity - The accuracy of infrastructure information - Personal injury or property damage arising from use of the Service - Any third-party actions or content
Our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Restspace in the 12 months preceding the claim, or (b) $100.
Some jurisdictions do not allow limitations on liability, so some of these limitations may not apply to you.
10. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be resolved as follows:
Informal Resolution: Before initiating formal proceedings, you agree to contact Restspace at legal@restspace.us to attempt to resolve the dispute informally.
Arbitration: If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Delaware.
Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
Time Limitation: Any claim arising from these Terms must be brought within one year of the date the claim arose.
11. Changes to Terms
Restspace reserves the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website - Updating the "Last Updated" date at the top of these Terms - Sending an email notification to registered users for significant changes
Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you must stop using the Service and may request deletion of your account.
We encourage you to review these Terms periodically to stay informed of any updates.
