Please read these Terms of Service carefully before using the Restspace platform. These terms govern your access to and use of our services.

1. Acceptance of Terms
By accessing or using the Restspace platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service.
These Terms apply to all visitors, users, and others who access or use the Service, whether as a guest seeking to book spaces or as a host listing spaces for rent.
We reserve the right to update these Terms at any time. Your continued use of the Service following any changes constitutes acceptance of those changes.
2. Service Description
Restspace is an online marketplace that connects people seeking temporary access to spaces and vehicles ("Guests") with property and vehicle owners offering such access ("Hosts").
Our platform enables the listing, discovery, and booking of various space types including rest spaces, accommodations, vehicles, offices, meeting rooms, coworking spaces, event venues, studios, kitchens, warehouses, gyms, outdoor areas, and rooftops.
Restspace acts solely as an intermediary platform. We do not own, control, offer, or manage any listings. Hosts are independent third parties and are not employees, partners, or agents of Restspace.
3. User Accounts
To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to: - Provide accurate, current, and complete information during registration - Keep your account information up to date - Notify us immediately of any unauthorized access to your account - Not share your account credentials with others - Not create multiple accounts for fraudulent purposes
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.
4. Booking and Payments
Restspace facilitates payments between Guests and Hosts through our secure payment processing system powered by Stripe.
Platform Fee: Restspace charges a 15% service fee on all bookings. This fee is calculated on the booking subtotal and helps us maintain the platform, provide customer support, and develop new features.
Payment Processing: When you make a booking, you authorize Restspace to charge your payment method for the total amount, including the space rental fee and platform fee. Hosts receive their payout minus our service fee after the booking is completed.
Pricing: All prices displayed on listings are set by Hosts. Restspace is not responsible for pricing errors. The final price shown at checkout is the binding price for the transaction.
Taxes: Depending on your jurisdiction, additional taxes may apply to your booking. You are responsible for complying with all applicable tax obligations.
5. Cancellation Policy
Cancellation policies are set by individual Hosts and displayed on each listing. Please review the cancellation policy before confirming your booking.
Guest Cancellations: Refunds for cancelled bookings are processed according to the Host's cancellation policy. The platform fee may be non-refundable depending on when the cancellation occurs.
Host Cancellations: If a Host cancels a confirmed booking, the Guest will receive a full refund. Hosts who cancel bookings may be subject to penalties including reduced search visibility or account suspension.
No-Shows: Failure to arrive for a confirmed booking without cancellation may result in no refund and potential account restrictions.
Disputes: If you have a dispute regarding a booking or cancellation, please contact our support team within 14 days of the booking date.
6. Host Responsibilities
As a Host on Restspace, you agree to:
Listing Accuracy: Provide accurate, complete, and up-to-date information about your space or vehicle, including photos, descriptions, amenities, rules, and availability.
Legal Compliance: Ensure your listing complies with all applicable laws, regulations, zoning requirements, lease agreements, homeowners association rules, and insurance policies.
Safety: Maintain your space or vehicle in a safe, clean, and functional condition. Address safety hazards promptly and provide accurate safety information to Guests.
Communication: Respond to booking requests and Guest inquiries in a timely manner. Be available to address issues during active bookings.
Tax Compliance: Report and pay all applicable taxes on your earnings. Restspace may be required to collect and report certain tax information.
Insurance: Maintain appropriate insurance coverage for your space or vehicle. Restspace does not provide insurance for Host properties.
7. Guest Responsibilities
As a Guest on Restspace, you agree to:
Accurate Information: Provide accurate booking information including the number of guests, intended use, and any special requirements.
Respectful Use: Treat the space or vehicle with respect. Follow all rules set by the Host. Leave the space in the same condition as you found it.
Communication: Communicate promptly with Hosts regarding arrival times, special requests, or any issues that arise during your booking.
Prohibited Activities: Not engage in any illegal, harmful, or disruptive activities during your booking.
Damage Responsibility: You are responsible for any damage caused to the space or vehicle during your booking. Hosts may charge additional fees for damages or excessive cleaning.
Occupancy Limits: Not exceed the maximum occupancy or bring additional guests without Host approval.
8. Prohibited Activities
The following activities are strictly prohibited on the Restspace platform:
Illegal Activities: Any activity that violates local, state, national, or international laws.
Fraudulent Behavior: Creating fake listings, fake reviews, or engaging in payment fraud.
Harassment: Harassing, threatening, or discriminating against any user.
Circumventing the Platform: Arranging bookings outside of Restspace to avoid fees or protections.
Commercial Solicitation: Using the platform for unauthorized advertising or commercial solicitation.
Data Scraping: Collecting or harvesting user data without authorization.
Misrepresentation: Providing false information about yourself, your listings, or your bookings.
Subletting: Subletting booked spaces without explicit Host permission.
Violation of these prohibitions may result in immediate account termination and legal action where appropriate.
9. Limitation of Liability
Restspace provides the platform "as is" and "as available" without warranties of any kind, either express or implied.
To the maximum extent permitted by law, Restspace shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.
Restspace is not liable for: - The conduct of any Host or Guest - The condition, safety, or legality of any listing - The accuracy of listing information - Personal injury or property damage arising from use of the Service - Any third-party actions or content
Our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Restspace in the 12 months preceding the claim, or (b) $100.
Some jurisdictions do not allow limitations on liability, so some of these limitations may not apply to you.
10. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be resolved as follows:
Informal Resolution: Before initiating formal proceedings, you agree to contact Restspace at legal@restspace.us to attempt to resolve the dispute informally.
Arbitration: If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Delaware.
Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
Time Limitation: Any claim arising from these Terms must be brought within one year of the date the claim arose.
11. Changes to Terms
Restspace reserves the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website - Updating the "Last Updated" date at the top of these Terms - Sending an email notification to registered users for significant changes
Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you must stop using the Service and may request deletion of your account.
We encourage you to review these Terms periodically to stay informed of any updates.
