Operator Agreement

This agreement governs your use of the Restspace platform as an infrastructure operator. Please read it carefully before listing capacity.

1. Introduction & Acceptance

This Operator Agreement ("Agreement") governs your use of the Restspace platform ("Platform") as an infrastructure operator ("Operator"). By registering as an Operator and listing capacity on Restspace, you agree to be bound by this Agreement, our Terms of Service, and our Privacy Policy.

This Agreement supplements the general Terms of Service. In the event of a conflict between this Agreement and the Terms of Service, this Agreement shall control with respect to your activities as an Operator.

We may update this Agreement from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Platform after changes become effective constitutes acceptance.

2. Eligibility & Account Requirements

To become an Operator on Restspace, you must:

- Be at least 18 years of age - Have the legal authority to offer the capacity you list - Provide accurate business and contact information - Create a business profile with a valid name and description - Connect a Stripe account for payment processing - Maintain a valid profile photo that clearly shows your face

You represent and warrant that you have all necessary rights, permissions, and authority to list your capacity on the Platform, including compliance with any lease agreements, homeowners association rules, or other applicable restrictions.

Restspace reserves the right to verify your identity and the accuracy of your listings at any time. Failure to comply with verification requests may result in account suspension.

3. Capacity Standards

All capacity listed on Restspace must meet our quality standards:

Accuracy: Your capacity pages must accurately describe the space, including its size, condition, amenities, utilities, capabilities, and any limitations. Misrepresentation of capacity may result in listing removal and account suspension.

Photos: You must provide clear, recent photos that accurately represent the current state of your space. Stock photos, heavily filtered images, and misleading angles are not permitted. Photos are analyzed for quality and accuracy.

Descriptions: Capacity descriptions must be honest, complete, and helpful. You may use our AI-powered description tools to assist with writing, but you are responsible for the accuracy of all published content.

Availability: Keep your availability calendar up to date. Consistently failing to honor confirmed allocations or maintaining inaccurate availability may result in reduced visibility or account suspension.

Safety: Your space must be safe, clean, and in good working condition. You must promptly address any safety hazards and provide accurate safety information, including emergency exits and first aid locations.

4. Pricing & Platform Fee

How Pricing Works: You set the price for your capacity. Restspace adds a 15% platform fee to your listed price, which is included in the total price shown to users. You receive your full listed price for every completed allocation.

Example: If you set your price at $100/hour, users see and pay $115. You receive $100, and Restspace retains $15 as the platform fee.

What You Set: You control your pricing, including hourly, daily, weekly, and monthly rates. The Platform's tiered pricing algorithm automatically calculates the cheapest combination for multi-day allocations.

Price Changes: You may update your pricing at any time. Price changes apply only to new allocations — existing confirmed allocations retain the price at the time of booking.

No Hidden Fees: Restspace does not charge Operators any listing fees, subscription fees, or hidden costs. The only fee is the 15% platform fee, which is paid by users as part of the displayed price.

5. Payments & Payouts

Payment Processing: All payments are processed through Stripe Connect. You must connect and maintain an active Stripe account to receive payouts.

Payout Schedule: Payouts are processed automatically after each completed allocation. Funds are typically available in your bank account within 2-7 business days, depending on your bank and Stripe account settings.

Payment Holds: For allocations requiring approval, payment is authorized but not captured until you approve the booking. If you do not respond within the payment deadline window, the authorization is automatically voided.

Taxes: You are responsible for reporting and paying all applicable taxes on your earnings. Restspace may issue tax forms (e.g., 1099) as required by law. Consult a tax professional for guidance specific to your situation.

Chargebacks & Disputes: If a user disputes a charge, Restspace will notify you and may temporarily hold the disputed amount. You agree to cooperate in resolving disputes promptly and to provide any requested documentation.

6. Allocation Management

Approval: You may choose between automatic approval or manual review for each allocation request. For manual approval, you must respond within a reasonable time — failure to respond before the payment deadline results in automatic cancellation.

Confirmation: Once you approve an allocation, you are committed to providing the capacity as described. Confirmed allocations are binding.

Operator Cancellations: If you cancel a confirmed allocation, the user will always receive a full 100% refund, regardless of your cancellation policy. Excessive cancellations may result in reduced search visibility, account warnings, or suspension.

User Cancellations: You set your own cancellation policy (Flexible, Moderate, Strict, Super Strict, or Non-Refundable). The policy is displayed to users before they confirm their allocation. Refund percentages are calculated based on how far in advance the user cancels.

No-Shows: If a user does not arrive for their allocation, you may keep the full payment. Please wait a reasonable period (at least 30 minutes past the start time) before marking a no-show.

7. Safety & Compliance

Legal Compliance: You must ensure your capacity complies with all applicable local, state, and federal laws, including zoning regulations, building codes, fire safety requirements, and accessibility standards.

Insurance: You are strongly encouraged to maintain appropriate insurance coverage for your capacity, including general liability insurance. Restspace does not provide property or liability insurance for Operator spaces.

Permits & Licenses: You are responsible for obtaining and maintaining any required permits, licenses, or registrations to operate your space commercially.

Health & Safety: You must maintain your space in a clean, safe, and sanitary condition. This includes proper ventilation, functional safety equipment (fire extinguishers, smoke detectors), and clear emergency exits.

Incidents: You must report any safety incidents, injuries, or property damage that occur at your space to Restspace within 24 hours via our support channels.

8. Communication Requirements

Response Times: You should respond to allocation requests and user messages in a timely manner. We recommend responding within 2 hours during business hours and within 12 hours outside business hours.

Check-In Instructions: You must provide clear and accurate check-in instructions for your space, including the check-in method (self check-in, operator greeting, doorman, lockbox, or smart lock). These instructions are shared with confirmed, paid users only.

Availability: You should be reachable during active allocations in case users encounter issues. Provide a reliable contact method.

Platform Communication: All allocation-related communication should occur through the Restspace platform messaging system. Directing users to communicate outside the platform to circumvent fees or protections is prohibited.

Notifications: Keep your notification preferences up to date so you receive important updates about bookings, reviews, and platform changes.

9. Reviews & Ratings

User Reviews: Users may leave reviews and ratings after their allocation. Reviews are displayed publicly on your capacity pages and contribute to your overall rating.

Responding to Reviews: You may respond to user reviews through the platform. Responses should be professional, constructive, and respectful. AI-assisted response tools are available to help craft appropriate replies.

Review Integrity: You may not solicit fake reviews, offer incentives for positive reviews, or attempt to manipulate your ratings. Verified review manipulation will result in account suspension.

Guest Reviews: You may also leave reviews for users after allocations. These reviews help maintain community standards and inform other operators.

Low Ratings: Consistently low ratings may result in reduced search visibility. We recommend addressing recurring issues highlighted in reviews to improve your rating over time.

10. Prohibited Conduct

As an Operator, you are prohibited from:

- Discriminating against users based on race, color, religion, national origin, sex, gender identity, sexual orientation, disability, or any other protected characteristic - Listing spaces you do not have authority to offer - Misrepresenting the condition, location, amenities, or utilities of your space - Installing hidden cameras, recording devices, or surveillance equipment in private areas - Providing false or misleading safety information - Engaging in price gouging or deceptive pricing practices - Circumventing the platform to avoid fees or protections - Harassing, threatening, or retaliating against users who leave reviews - Subletting or transferring your Operator account - Using the platform for any illegal purpose

Violation of these prohibitions may result in immediate account termination, forfeiture of pending payouts, and legal action where appropriate.

11. Suspension & Termination

Restspace may suspend or terminate your Operator account for:

- Violation of this Agreement or the Terms of Service - Repeated complaints from users - Consistently low ratings (below 3.0 stars over 10+ reviews) - Excessive cancellations of confirmed allocations - Failure to maintain accurate capacity information - Non-compliance with verification requests - Fraudulent or deceptive conduct - Any conduct that harms the Restspace community

Suspension: During suspension, your capacity will be hidden from search results and no new allocations will be accepted. Existing confirmed allocations will be honored unless Restspace determines otherwise.

Termination: Upon termination, all active listings will be removed. Pending payouts for completed allocations will be processed. Ongoing allocations may be canceled with full user refunds at Restspace's discretion.

Voluntary Termination: You may deactivate your Operator account at any time through your account settings. You must first cancel all upcoming allocations and fulfill any active commitments.

12. Limitation of Liability

Restspace provides the Platform "as is" and makes no warranties regarding the suitability of users, the volume of allocations you may receive, or the revenue you may generate.

You acknowledge that: - Restspace does not guarantee any minimum level of allocations or earnings - Restspace is not liable for user behavior, property damage, or personal injury at your space - You are solely responsible for the safety and condition of your capacity - You are responsible for your own insurance, taxes, and legal compliance

To the maximum extent permitted by law, Restspace's total liability to you for any claims arising from this Agreement shall not exceed the total platform fees earned from your account in the 12 months preceding the claim.

You agree to indemnify and hold harmless Restspace, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your operation of capacity on the Platform.

13. Changes to Agreement

Restspace reserves the right to modify this Agreement at any time. We will provide notice of material changes by:

- Sending an email notification to your registered email address at least 30 days before changes take effect - Posting the updated Agreement on our website with a new "Last Updated" date - Displaying a notification in your Operator dashboard

Minor clarifications or formatting changes may be made without advance notice.

If you do not agree to the revised Agreement, you must stop operating on the Platform before the changes take effect and may request account deactivation.

Your continued use of the Platform as an Operator after the effective date of changes constitutes acceptance of the revised Agreement.
